Draft for review. Updated for Round in November 2026 and being checked before it is final. Please read it, and take independent advice if you want to, before you accept.
Last updated 2 November 2026
1. What this covers
These terms are between Round ("Round", "we") and a business approved to sell through Round ("Partner", "you"). They cover your Round page, ordering, delivery through Round, the till and dashboard, and any equipment you rent or buy from us. You accept them when you apply and are approved.
2. Plans, fees and commission
- Round charges a commission on each order placed through Round and, on some plans, a weekly fee. The current plans are: Starter, $0 a week and 15% commission; Growth, $50 a week and 10%; Premium, $199 a week and 5%. Your plan and rates are always shown in your dashboard.
- New partners get their first 60 days free (no commission and no weekly fee) when they rent equipment from Round.
- Fees and commission are taken from your payouts. Prices shown include GST where it applies, and we give you GST invoices for Round's fees.
- Card payments and payouts are handled by Stripe. You need to complete Stripe's own setup (Connect Stripe in your dashboard) and accept Stripe's terms to be paid.
- You can choose to add a markup to your prices on Round's own pages. Customers see the final price before paying.
3. Changes to fees and these terms
We will give you at least 30 days' notice in your dashboard and by email before raising fees or making any change to these terms that is worse for you. If you do not agree, you can leave before the change takes effect without any exit fee (equipment rental terms in section 8 still apply).
4. Your responsibilities
- Keep the information you give us (business details, NZBN, GST number, documents) accurate and up to date.
- If you sell food, hold and keep current registration under the Food Act 2014 (a Food Control Plan or National Programme), and show it to us when asked.
- You are the seller of the food and drink. You are responsible for its safety, quality, allergen and ingredient information, and for your menu, prices and stock being accurate.
- Accept or decline orders promptly, prepare accepted orders by the time given, and keep your status (open, paused, closed) and hours accurate.
- Follow the laws that apply to your business, including the Fair Trading Act, the Consumer Guarantees Act and, if you sell alcohol, the Sale and Supply of Alcohol Act.
5. Refunds and complaints
- Customers are refunded under our refund policy and the Consumer Guarantees Act.
- Where a refund is because of the food or order (for example a missing item, wrong order or food quality), the refund comes out of your payout for that order.
- Where a refund is because of Round's delivery (for example a driver lost or damaged the order), Round covers it.
- We tell you about each complaint and refund, and you can dispute one in your dashboard within 7 days.
6. Customer information
We share customers' names, phone numbers, orders and addresses with you only so you can fill their orders. Use them only for that, keep them secure, and follow the Privacy Act 2020. You may only send customers marketing if they have agreed to hear from you, under the Unsolicited Electronic Messages Act 2007. How Round handles information is in our privacy policy.
7. Your documents
Documents you upload to apply (such as photo ID and food registration) are used to check your application and kept securely. If your application is declined, we delete them shortly after the decision. If you are approved, we keep them while you are a partner.
8. Equipment
- Rented equipment (for example a receipt printer, EFTPOS reader or tablet) is on a fixed term of 6 or 12 months, agreed when you rent it. It remains Round's property; please look after it and return it at the end of the term.
- Equipment you buy outright is yours, with no fixed term. Manufacturer warranties apply.
9. Ending the partnership
- You can leave at any time from your dashboard or by emailing us, subject to any equipment rental term.
- We can end the partnership with 30 days' notice, or straight away for a serious breach, fraud, a food safety risk, or losing your food registration.
- Fees and payouts already owed are still settled after the partnership ends.
10. Responsibility
Round provides the ordering platform, payments through Stripe, delivery coordination and marketing. We do not prepare or handle your food. Each of us is responsible for our own part. Where the law allows, neither of us is responsible to the other for indirect losses such as lost profits, and each party's total responsibility to the other is limited to the fees Round charged you in the three months before the claim. As this is a business arrangement, the parties agree the Consumer Guarantees Act does not apply to Round's services to you, to the extent that is fair and reasonable and the law allows.
11. New Zealand law
These terms are governed by New Zealand law.
